What the affiliation gives a client

An international quality lens

File and quality review checklists, ISA and ISQM compliance checklists, independence checklists, risk and materiality schedules, disclosure checklists, sampling and testing review sheets and remediation trackers are applied to our engagements on an annual and risk-based cycle.

Cross-border capability

Support on group reporting to a UK parent, inbound investment, foreign company set-up, expatriate and cross-border payment questions, and reporting packages prepared to an overseas group's timetable.

Access to specialists

Consultation and expert opinion from an ACCA-recognised practice and its wider alliance, drawn on where an engagement raises a question that is better answered by someone who has met it before.

Work delivered locally, tested against an international standard, and reviewed by someone outside the engagement team.
Firm Profile 2026 · Chartered Accountants · Dhaka
M A Fazal & Co. · Chartered Accountants05 · What We Do
05 — What We Do

Services, mapped to the problem they solve.

A traditional firm verifies what already happened and hands you a report. We do that work to the highest standard, then we go further — we look at how the work itself is done, where it slows, where control is weak, and where a person is doing what a process should. Then we fix it.

Audit & Assurance

The pain

A report that satisfies the regulator but tells you nothing about your own business.

What we do

Statutory and consolidated audit under the Companies Act 1994 and the International Standards on Auditing as adopted by ICAB. Listed-company audit for DSE entities. Internal, operational, compliance and forensic audit. Special-purpose, grant and donor-funded audits, including World Bank funded projects. Loan portfolio audit and information system audit. A management letter that goes past compliance to flag control gaps, leakage and efficiency.

Taxation & VAT

The pain

Surprises at assessment, penalties for missed deductions, and positions taken without support behind them.

What we do

Corporate income tax compliance, planning and return filing under the Income Tax Act 2023. TDS and VDS health checks, run before they become a problem. VAT registration, Mushak 9.1 returns, and a clean Mushak 6.3 and 6.6 documentation trail. Transfer pricing documentation and international taxation. Customs duty and compliance. NBR exemption certificates and special SROs. Representation before the tax and VAT authorities, through assessment and appeal.

01

Statutory rigour, without compromise

Audit, tax and VAT handled by FCA partners against the standards adopted in Bangladesh, with enlistment held at every regulator that matters. The compliance itself is never in question.

02

Practical technology, not slideware

We build and use our own tools in real finance, tax and audit work. When we talk about automation and AI, it is because we already do it, every day.

03

Partner-led, and on time

You deal with a partner, not a rotating cast of juniors. Timelines are agreed and then met, because a late report or a late return helps no one.

Firm Profile 2026 · Chartered Accountants · Dhaka
M A Fazal & Co. · Chartered Accountants05 · What We Do
05 — What We Do

From a single decision to the whole back office.

Advisory, Valuation & Due Diligence

The pain

A major decision — an acquisition, an investment or a restructuring — taken without independent numbers behind it.

What we do

Business and asset valuation, fixed asset register preparation, tagging and revaluation. Financial and tax due diligence. Feasibility studies, projections and financial modelling. Restructuring, merger and acquisition support. Impairment testing. Management and MIS advisory, so the board sees information it can actually decide on, rather than a trial balance.

Corporate, Regulatory & Outsourcing

The pain

Time and attention lost to filings, registrations and the parts of finance that are essential but not your core business.

What we do

Company incorporation, RJSC filings, BIDA registration and permissions, BSEC compliance support and company winding-up. IPO, RPO and rights issue advisory and pre-IPO readiness. Secretarial and company-law services. FDI advisory, quarterly FDI reporting and dividend remittance certificates. Provident, gratuity and pension fund services. Business process outsourcing for accounts, payroll and reporting, run by qualified people to a fixed standard and an agreed timeline.

The five problems we are asked to solve most often
01

The rules keep moving

The Income Tax Act 2023, the annual Finance Act changes, VAT and VDS under the 2012 Act, FRC reporting, RJSC and BSEC filings. Missing any one of them is no longer a small matter.

02

Audit that only looks backward

A clean report is the minimum. If your auditor leaves without showing you where money or control is leaking, you have paid for half the value.

03

Manual work everywhere

Reconciliations, returns and reports done by hand cost time your team does not have, and hide the errors nobody catches until much later.

04

Tax and VAT surprises

A missed TDS or VDS deduction, a weak Mushak trail, a position taken without support. The bill arrives at assessment, with penalties attached.

05

Capable people on low-value work

Your strongest finance staff spend their days on data entry and chasing files, not on the analysis and decisions you actually need from them. None of this is unusual. All of it is fixable.

Firm Profile 2026 · Chartered Accountants · Dhaka
M A Fazal & Co. · Chartered Accountants07 · Value Beyond the Audit
07 — Value Beyond the Audit

Where most firms stop, we start.

These are the engagements clients remember. Not the statutory work that simply has to be done, but the work that makes the rest of the year easier. Each can stand on its own, or be built into your regular audit and tax engagement.

01

Internal audit & process re-engineering

We move internal audit from routine checking to a risk-based function that improves how work gets done. We map your key cycles — revenue and billing, procure to pay, order to cash, treasury, payroll, fixed assets and IT controls — find the gaps and bottlenecks, and redesign for control and speed. You receive process maps, standard operating procedures, a risk-based audit plan and a clear set of fixes.

02

Human resource efficiency in finance

Your finance team is capable, and buried. We identify the low-value manual work that eats their week, remove or automate it, and redefine roles so your strongest people spend their time on analysis and review. The result is more output from the same headcount, and staff who stay because the work is worth doing.

03

Practical AI for finance & audit teams

Hands-on AI training built for finance, accounts, tax and audit professionals, taught by people who use these tools daily. Your team learns to draft, summarise, reconcile and analyse faster, under a firm verify-everything discipline, and leaves with a prompt library and templates tailored to your own work.

04

Automation & MIS design

We build the simple, durable tools that take the pain out of repetitive finance work: reconciliation helpers, return and computation checks, VAT documentation, and dashboards that turn your raw data into something the board can actually read and use.

Technology in the practice

Audit Pro — our in-house audit documentation platform

The firm has developed, in-house, a proprietary audit documentation and engagement management application named Audit Pro, conceived and built by a partner of the firm in collaboration with the firm's technology adviser. The intellectual property vests in the firm.

Audit Pro covers client acceptance and continuance; engagement planning and team allocation; risk assessment at financial statement and assertion level; computation of materiality and performance materiality; determination of sample sizes; a structured working paper library with automatic indexing; audit programmes; and review and sign-off. Security controls include individual user authentication with role-based permissions, segregation of preparer and reviewer rights, a complete audit trail with user and time stamp, encryption in transit and at rest, scheduled and tested backups, and a retention lock. Each engagement record carries the ICAB Document Verification Code generated at the time of issue of the auditor's report.

Audit Pro is under phased development and implementation. It has not been approved by the Institute of Chartered Accountants of Bangladesh or by the Financial Reporting Council, and the firm makes no representation that it has been so approved.

11 — Quality, Independence & Capacity

The controls behind the signature.

Independence is not a statement in a report; it is a documented process that runs before acceptance, before continuance and before every signature.

Independence framework

A documented Partner Independence Policy, an Ethics and Independence Partner, an Independence Committee and a central independence register. A documented independence assessment is completed before the acceptance of every new audit engagement, before the continuance of every existing engagement, and before the issue of every audit report. Every partner submits an annual written independence declaration and a client-specific declaration before participating in any engagement.

Risk, sampling & materiality

A firm-level Audit Risk Assessment Procedure supported by written sampling and materiality policies. Risk is assessed at financial statement and assertion level; materiality and performance materiality are computed and documented; sample sizes are determined on a stated basis rather than by judgement alone.

Quality review

Two-tier internal review with an independent quality-review director on every deliverable, supplemented by the annual and engagement-specific risk-based reviews carried out under the Docklands affiliation using file and quality review checklists, ISA and ISQM compliance checklists, independence checklists, disclosure checklists and remediation trackers.

Capacity building

Forty-five internal training sessions were delivered between July 2025 and June 2026, totalling 67 scheduled hours across audit methodology, financial reporting, taxation, VAT and technology, for staff and articled students alike.

Information systems audit

Dedicated IS audit capability under a CISA-certified consultant (ISACA), covering IT general controls, application controls and information system audit engagements, with completed IT audit assignments in the technology sector.

Securities and conflict controls

Every partner, member of staff and articled student declares that neither they nor their immediate family hold any security of an audit client, and undertakes to report any acquisition or disposal to the Ethics and Independence Partner within seven days.

On fees

Our fees follow the agreed scope and the effort the work genuinely takes, within ICAB policy where it applies, and never below the minimum audit fee prescribed by the Institute. We tell you the number before we start, not after. The signing partner states in the audit report the total fee received and the total working and staff hours utilised on the assignment.

12 — How We Work

A straightforward way to begin.

No long onboarding and no jargon. We agree what needs doing, then a partner-led team does it and signs it. Bring your hardest problem — the first meeting is on us.

01

A conversation

We meet, in person or online, and you tell us where it hurts. No charge, and no obligation.

02

A defined scope

We agree exactly what we will do, what you will receive, and by when. Nothing vague, and nothing assumed.

03

A partner-led team

Qualified people do the work, supervised and signed by an FCA partner who stays close to it.

04

Delivery, on time

You get the report, the return or the redesign when we said you would, with a plain note on what to do next.
